January 13, 2014 Board Meeting Minutes

Meeting was called to order at 6:30 pm. Attending were Dave Zeemont, President; Steve Bailey, Secretary; Larry Felhauer and Dave Wright, Directors at Large. Also attending were William Webber, Design Chair; Kathy Mayer, Website Chair; Maxine Webber, and Alan Shawala.

Minutes from the previous meeting were approved.

The Treasurer was not able to attend. See attached for the financial reports. An appointment for the Audit Committee has been set up to meet with the Treasurer before the Annual Meeting.

Kathy Mayer, Website Chair, explained to the Board that the website software was in dire need of an overhaul. In layman’s terms, the site was put up in 2009, which is ancient in computer years. The security of the site is now questionable (someone could easily hack into it and disable it or worse) and a new update is necessary to greatly improve security as well as to be able to allow current technology to be used on the site. Kathy stated that the cost of the new overhaul would be $350 (she negotiated that price down from $500.) The Board voted to update the website.

Alan Shawala attended the meeting and he volunteered to help with the gates. The Anthem gate has been malfunctioning for over a month now and he believes he may be able to help if it is a mechanical problem. He could also help with a scheduled maintenance program which would help us lower costs and perhaps avoid future problems. The Board welcomed Alan’s offer to volunteer.

Dave Wright, Gates Chair, stated that the SOS and back-up batteries were all functioning. He also stated that Allied had sent a bill for fixing the Anthem gate, but he was not going to pay it until they actually have the gate working properly. Dave looked into the possibility of changing to a sliding gate, which hopefully would have less problems. Unfortunately, sliding gates seem to have more problems than the type we have. The Board discussed the possibility that we might need a more powerful motor, which might help with the breakdowns and would definitely help the gates open and close in the high winds we have frequently. The current motor, etc. are approaching ten years in age. It was noted that every time someone forces the gates open or closed causes us to spend about $125 for Allied to repair/reset the gate. Please, you are not helping by forcing things.

William Webber, Design Control Chair, mentioned that he was working with two more homeowners who want to put up solar heating panels on the roof.

The Board read and approved the ballot for 2014 that Steve Bailey had submitted. The Board agreed that members should be able to vote separately on all items. There will be 13 items to vote on; however, a “Speed Vote” procedure will be offered so that one mark will signify “Yes” or “No” for all of the items at once (similar to a “straight party vote.”) This will help voters (who choose to use it) and vote counters time.

The Board approved the agenda for the General Membership Meeting with no changes. The meeting will be held Thursday, January 30, 2014 at the Country Club.

The next Board of Directors meeting will be held 6:30 pm Monday, February 10, 2014. Location to be announced following the Annual Meeting.
